FleetCifu Terms of Service

These terms apply to the FleetCifu service and the CIFU AI Dashcam package provided by IC 360 Ltd ("we", "us") to the business named on the order form ("Customer", "you"). By signing an order form or using the service you agree to them on behalf of your business.
1. The package. FleetCifu is a fleet management platform. It is sold together with the CIFU AI Dashcam as one package: the camera works only with FleetCifu, and FleetCifu's camera features work only with the CIFU AI Dashcam. The order form sets out the vehicles covered, the hardware, installation, the monthly fee and any extras.
2. Accounts and users. You choose who in your business gets access and what role they have. You are responsible for keeping sign-in details private, for what your users do in the service, and for removing access when someone leaves. Tell us promptly if you think an account has been misused.
3. Your responsibilities toward drivers and staff. You decide how the service is used in your vehicles, so you are responsible for using it lawfully. That includes telling drivers and passengers that vehicles are tracked and cameras record (we supply a driver notice and an in-cab sticker), getting any consent the law requires, including driver consent before enrolling anyone for face matching, and setting retention to suit your needs. 4. Acceptable use. Do not use the service to stalk or covertly monitor anyone, for any unlawful purpose, to break or overload the service, to reverse engineer the platform or the camera's software, or to resell access without our written agreement.
5. Hardware. Unless the order form says otherwise, you buy the camera hardware outright and own it from delivery, and risk passes on installation or delivery, whichever is first. Installation is done by us or an installer we approve; we are not responsible for problems caused by installation or repairs by anyone else, by vehicle electrical faults, accidents, tampering or misuse. Hardware warranty, repair and replacement terms are in the order form.
6. Mobile data. Cameras need mobile data. We supply and manage the SIMs and data unless the order form says otherwise. To keep costs predictable, each vehicle has data limits (for example, live video switches off automatically after a short time, and video defaults to a lower-data stream). If a vehicle reaches its limit, some video features pause until the next period or until you agree to a higher limit. Coverage depends on the mobile network where the vehicle is.
7. Fees and payment. Fees are set in the order form, billed monthly in advance per vehicle, in US dollars or Cayman Islands dollars, and payable within 14 days of invoice by bank transfer. Hardware and installation are billed once, before or at installation. Late amounts may carry interest at [x]% per month, and we may suspend the service, after written notice, if an invoice is more than 30 days overdue. Fees exclude any applicable duties or taxes. We may change the monthly fee at renewal with at least 60 days' written notice.
8. Term, pilot and cancellation. A paid pilot runs for the period on the order form (typically 60 days). After that, the service continues month to month unless the order form sets a longer term, and either side may end it with 30 days' written notice. Either side may end it straight away if the other seriously breaches these terms and does not fix the breach within 14 days of notice. On ending, you can export your data for 30 days, after which we delete it as set out in our Privacy Policy, except where the law requires us to keep it.
9. What the service does and does not do. FleetCifu and the dashcam help you understand and improve how your vehicles are driven. Alerts, clips, scores, face-match results and answers from Cifu, the in-app assistant, are aids to your judgement, not a guarantee. They can be wrong or delayed, for example because of camera position, lighting, weather, mobile coverage or device faults. They do not replace safe driving, your own supervision or emergency services, and you should review important results, such as a face mismatch or a serious incident, before acting on them. Cifu does not take sensitive actions without a person approving them.
10. Availability and support. We aim to keep the service available at all times except for planned maintenance, which we try to schedule outside Cayman business hours, and events outside our control. Support is by email and the in-app form, and we aim to reply within one working day. There is no phone support line.
11. Your data. Your fleet data stays yours. You give us permission to use it only to provide, secure and support the service, and as set out in our Privacy Policy and data processing terms. We do not sell it and do not use it to train shared AI models that serve other customers. We may use anonymised, aggregated statistics that do not identify you, your vehicles or any person to run and improve the service.
12. Our property. The FleetCifu software, the camera software, the Cifu assistant, and the names and logos FleetCifu, CIFU and Cifu belong to us or our licensors. You get a non-exclusive, non-transferable right to use the service for your own fleet during the term. If you send us suggestions, we may use them freely.
13. Confidentiality. Each side keeps the other's non-public business information confidential and uses it only for this relationship, except where disclosure is required by law.
14. Warranties. We will provide the service with reasonable skill and care. Apart from that and any hardware warranty in the order form, the service is provided "as is", and to the extent the law allows we give no other promises, including fitness for a particular purpose.
15. Liability. To the extent the law allows: neither side is liable for indirect or consequential loss, or for lost profits, revenue or data, and each side's total liability under these terms in any 12 months is limited to the fees paid or payable by the Customer in those 12 months. These limits do not apply to your payment obligations, to either side's liability for death or personal injury caused by negligence, to fraud, or to anything else that cannot be limited by law.
16. Indemnity. You will cover our reasonable losses from claims brought by your drivers, staff or others because the service was used in your fleet in breach of section 3 or 4.
17. Changes to these terms. We may update these terms. We will tell you about material changes at least 30 days in advance; if you do not agree, you may end the service before they take effect.
18. General. These terms, the order form, the data processing terms and the Privacy Policy are the whole agreement. If they conflict, the order form wins, then the data processing terms, then these terms. Neither side may transfer the agreement without the other's consent, except to a buyer of all or most of the relevant business. Neither side is liable for delays caused by events outside its reasonable control. These terms are governed by the laws of the Cayman Islands, and the Cayman Islands courts have jurisdiction.
